I built the legal and compliance departments for this venture-backed payments technology company through it's eventual acquisition. Achievements included:
• Completely revamped the contracting process reducing review times from 6 weeks to 5-10 days, automating many formerly manual steps in the process, and simultaneously handling more transactions without outside legal spend.
• Advise on all employment matters including a reorganization and restructuring of teams, terminations, disciplinary issues, hiring questions and risk mitigation training for managers.
• Manage immigration process for key IT employees.
• Advise on strategy and direction of new product lines and new markets.
• Implemented and manage IP Incentive program resulting in company’s first patent applications being filed.
• Work with marketing and product teams with regards to marketing initiatives, trademarks, and related collateral.
• Responsible for privacy and data control matters related to expansion into international markets.
• Assumed responsibility for the Compliance department, including coordination of numerous sponsor bank, card brand, PCI and other regulatory annual audits, creation and enforcement of policies and procedures and risk management related to operations in a quasi-regulated industry.
• Manage the current, and strategic planning for the growth of the legal and compliance team.
• Manage outside counsel on corporate, immigration, litigation, intellectual property and overflow matters.
• Serve as secretary of the board.

Initially I served as first and sole attorney for this provider of powerful e-commerce software w that has helped over 40,000 small and mid-size businesses build and manage online stores. I created legal process and relationships necessary to manage the company's legal affairs. I built procedures for brand compliance, contract review, licensing, privacy, abuse management and intellectual property management while overseeing the general day to day legal needs for employment and labor, transactional, hosting liability/DMCA, product liability and general business advice. I moved to Associate General Counsel when it was time for the company to bring on a more experienced corporate lawyer with public company experience.

• Established company’s contracting process which reduced response times by over 20% while increasing visibility and tracking of existing obligations, averaging a review of 70 contracts per month.
• Developed and implemented procedures for litigation management, employee policies, brand compliance licensing, privacy, abuse management and intellectual property management.
• Provided legal and strategic advice regarding matters such as intellectual property, marketing, sweepstakes/contest rules, risk assessments, human resources, employment and labor, licensing, privacy.

US Division General Counsel

I joined an international team of lawyers to become the first and sole attorney for the U.S. subsidiary for this international company specializing in providing ATM, registers, and related IT solutions for retail and banking sectors with international revenues of over €2.3billion. In that role, I:
• Implemented standardized contract templates and a document management system, drastically reducing turnaround time for transactional matters from several weeks to a managed SLA of 24 hours to 5 business days, and increasing document organization and retention.
• Supported human resources team for the U.S. Division, including managing employment based litigation, responding to attempted unionization of service professionals in New York, and development of U.S. policies in relation to the E.U./German policies of parent company.
• Managed all outside counsel as well as legal relations with parent company.
• Assisted with various compliance issues arising from working within the financial, retail and gaming industries.
• Managed commercial litigation resulting in judgments and/or settlements in excess of $2 million while reducing total outside legal spending by more than 50% in first year.

When I moved to Austin for my husband's work, I found contract work to be a great way of getting to know the local community. Working in a large law department, I was responsible for the primary support of AMD's procurement group, the Global Business Service Procurement Group. After interning at GoDaddy during law school, I had the pleasure of being mentored by Christine Jones, Go Daddy's General Counsel as well as several other highly qualified attorneys with decades of experience under their belts. Run somewhat like an internal law firm, working in Go Daddy's legal department allowed me the opportunity to:
• Provide transactional support for agreements in a variety of corporate matters such as in-bound and out-bound software licenses, joint development agreements, end user licenses, service agreements, facilities agreements and other general agreements.
• Managed company’s privacy and data retention policies.
• Managed intellectual property portfolio of more than 200 domestic and international trademarks registrations and applications, copyrights, and domain names, including successfully addressing domain name disputes under the Uniform Domain Name Dispute Resolution Procedure.
• Manage outside counsel handling international and domestic intellectual property matters and litigation.
• Coordinate and review marketing and promotional efforts including web-based, internet and broadcast radio and print and television advertisements focused on end consumers and small businesses.
• Research and advise on international regulations and pending legislation with potential impact on developmental efforts focusing primarily on internet and SaaS solutions.
